Job Title: Assistant General Counsel and Assistant Company Secretary
Location: Birmingham
Overview: An established challenger bank is seeking an experienced lawyer with company secretarial experience to support the General Counsel and the wider business in achieving commercial aims and ensuring regulatory compliance.
You will advise the board on corporate law, governance, strategy, and corporate secretarial practices, and support internal stakeholders on a variety of legal matters.
Minimum Requirements:
* Previous experience as a company secretary.
* Knowledge of banking products and experience in the corporate banking sector ***preferably in the Challenger sector.
* Understanding of privacy and employment legislation.
* Qualified solicitor or barrister with at least 3 years PQE.
* Ability to influence and advise across departments.
* Company secretarial or governance qualifications are desirable but not mandatory.
Roles and Responsibilities:
* Advise the board and senior management on their responsibilities and regulatory obligations.
* Ensure efficient board functions and good information flow within the board and committees.
* Oversee compliance with applicable codes, legal, and statutory requirements.
* Monitor legislative changes and take appropriate actions.
* Administer day-to-day company operations.
* Prepare, review, and negotiate commercial contracts.
* Advise on legal matters related to commercial contracts, employment, privacy, corporate, and tax.
* Develop and maintain standard form contracts.
* Implement and update policies in risk and compliance frameworks.
* Provide legal training across the organisation.
* Support broader initiatives and projects within the Bank.
