POSITION: Associate – Corporate (2+ years PQE)

QC Legal have a fantastic opportunity for a Corporate Associate in Liverpool to become part of a global powerhouse. Our client is a leading and award-winning international commercial law firm. You will be joining a dynamic high performing team, acting for major corporates on mid-market and big-ticket deals. The team has multi-disciplinary knowledge and global experience in which you will be valued, supported and offered opportunities to develop in your career.
As a corporate associate at the firm, you will use your previously acquired technical knowledge and experience as a springboard to catapult your career to the next level. You will enjoy early responsibility with a broad spectrum of corporate work.
ROLE
*You will focus on all aspects of corporate work including mergers and acquisitions, corporate restructurings, shareholders agreements, joint ventures and limited liability partnership agreements, specifically drafting the principal documents.
*Offer support on public company transactions, such as IPO’s or equity fundraisers.
*Review investment documents either acting for investing institutions or management teams on private equity backed transactions or placing agreements.
*Draft and negotiate the terms of transaction ancillary documents (such as completion board minutes, deeds of waivers, resignation letters, Companies House forms etc.)
*Conduct in-depth legal research and analysis to support transaction strategies.
*Collaborate with clients, colleagues, and external experts to develop and implement effective legal strategies.
*Stay current with developments in corporate law and advise clients on potential impacts.
REQUIREMENTS
*England & Wales qualified lawyer.
*2-5 years PQE.
*Strong technical skills and a willingness to learn.
*Excellent communication skills both written and verbal.
*Excellent organisational skills with the ability to prioritise.
*The ability and experience of independently managing a caseload providing sound commercial advice.
*Adhere to guidelines and procedures.
