The Role
Our client is recruiting a 0-4 PQE lawyer to join their award-winning Incentives and Remuneration group, which is part of the wider Tax department. The Associate will work collaboratively with colleagues to ensure outstanding client service delivery.

The successful candidate will advise on a wide range of incentives, including tax-advantaged share option plans, international share offers, management incentive plans, and cash and deferred bonus arrangements. They will support clients on the employee incentive aspects of corporate transactions such as management buy-outs, stock market flotations, and takeovers. The role also involves advising on all aspects of employment tax, including employment-related securities regimes, global mobility, and termination settlements.

Key Responsibilities

- Advising on the design and implementation of employee equity and cash incentive plans in the UK and internationally.
- Ensuring compliance with Corporate Governance and Institutional Investor Guidelines, in collaboration with the Listed Company Advisory Team.
- Advising on management buy-outs, bolt-on acquisitions, stock market flotations, and takeovers, working closely with Corporate, Transactional Tax, and Funds teams.
- Providing guidance on all aspects of employment taxation, including social security, in collaboration with the Employment team.
- Keeping up to date with legal changes affecting incentives.
- Contributing to business development initiatives and supporting business proposals.
- Participating in the firm’s mentoring programs and pro-bono initiatives.

Experience, Knowledge & Skills

- Outstanding academic record.
- Qualified Solicitor in a Common Law jurisdiction.
- Demonstrable experience within a Tax or Incentives team at a similar firm.
- Commercially astute with strong drafting abilities.
- Excellent verbal and written communication skills.
- An inquisitive, detail-oriented personality.
- Ability to work both autonomously and in a collaborative environment.
- Strong time management skills and resourcefulness.
- Commitment to the firm’s culture.
