Background
This is an exciting opportunity to join Jupiter’s Legal team in a fixed term contract Senior Legal Counsel role. The Legal team has a strong reputation internally and externally as a high performing, multi-disciplinary, diverse team which contributes meaningfully to the key strategic priorities of the firm. The role will provide general advice on legal issues across the business including Jupiter’s institutional mandates, oversight of derivatives/trading arrangements, general contractual undertakings and legal/regulatory matters of the Jupiter business. The role requires strong collaborative relationships across Jupiter, aligned with our cultural pillars: our clients come first, our value is in our people, we succeed together, we strive to challenge ourselves.
Key Responsibilities *Working closely with other members of the team, Institutional Client Group team, Compliance, Operations and other departments on matters relating to:
• the group’s institutional mandates and clients;
• the derivatives and trading arrangements (on an oversight basis working with external legal advisers);
• certain transactional matters such as unlisted equity transactions and debt restructurings;
• contractual arrangements relating to Jupiter’s various service providers; and
• general legal/regulatory matters related to Jupiter’s business.
*Reviewing contracts related to Jupiter’s wider business (including distribution agreements) and providing legal advice to best satisfy business requirements.
*Obtaining advice from external advisers as appropriate and liaising with internal departments.
*Advising on and assisting the business to comply with regulatory requirements working closely with the Compliance Department.
*Providing legal support on ad hoc projects as required.
*Assisting the other members of the Legal Department in maintaining and growing its know-how and precedent base.
Desired Skills / Experience
Essential: *Qualified Solicitor with 5+ years PQE (having qualified within a leading City or local (when non-UK) law firm).
*Financial services experience (ideally within the asset management team of a leading City or local (where non-UK) law firm).
*Some knowledge of UCITS, AIFMD and MiFID.
*Experience of negotiating investment management agreements for segregated accounts and ancillary institutional client arrangements.
*High-level knowledge of derivatives/trading arrangements and overseeing external counsel for derivatives/trading matters.
*Practical, first-hand experience of working in and across international markets (ideally including some or all of those markets in which Jupiter has a presence).
*Excellent drafting, communication (written and verbal) and negotiating skills.
*Proven ability to manage relationships with internal partners and external providers.
*Excellent attention to detail.
*Proven ability to prioritise workload and to work to deadlines.
*Strong team player who seeks and gives empowerment.
*Flexible, positive and approachable with a pragmatic approach.
*Strong computer and technical skills and know-how.
Desirable: *Experience of investment transactional work such as unlisted equity transactions and debt restructurings.
*Experience of working in an in-house environment, whether on secondment or otherwise.
*Experience and some knowledge of the FCA Handbook.
