The team advises on the full spectrum of incentives and remuneration matters, including the incentives aspects of major corporate transactions.

Description
As an Associate in this team, you will:
*Advise on the design, implementation and operation of employee share plans, incentive arrangements and executive compensation structures.
*Support on the incentives aspects of high-profile transactions, including IPOs, SPAC combinations, private equity acquisitions, and cross-border M&A
*Assist with corporate governance, remuneration reporting and regulatory issues.
*Draft and review plan rules, award documentation, employee communications and related transactional documents.
*Engage directly with clients, including listed companies, financial institutions, private equity sponsors and high-growth businesses.
*Work closely with colleagues across tax, corporate and finance teams on integrated transaction support.

Profile
We are seeking candidates who demonstrate:
*NQ-6 PQE experience in employee incentives, share plans, executive compensation, corporate tax, employment or corporate law, with a genuine interest in incentives work.
*Strong technical ability and attention to detail.
*Experience advising on incentives for corporate transactions is highly advantageous (but not essential for more junior applicants).
*Excellent drafting skills and the ability to explain complex structures simply.
*A commercial mindset and confidence in client-facing situations.
*Collaborative working style and willingness to contribute to wider team initiatives.
